Use this preliminary BOI exemption checker to understand which facts matter under the current FinCEN rule. It is an educational guide, not a legal determination.
Start with the entity’s formation jurisdiction
Under the FinCEN final rule effective August 14, 2026, entities created under U.S. law are exempt from federal BOI reporting. Certain foreign entities registered to do business in a U.S. state or tribal jurisdiction may still fall within the reporting-company definition unless an exemption applies.
Do not rely on the state name alone
Delaware, Wyoming, and other state formations do not independently create a federal BOI filing duty for a U.S.-created entity under the current rule. For a foreign-formed entity, verify the actual U.S. registration record and any applicable exemption.
Keep a record of your review
Record the entity’s formation jurisdiction, registration details, exemption analysis, and the date you checked the official guidance. Revisit the analysis when facts or rules change.
